Terms of Use

These Terms of Use (the “Terms”) constitute a legally binding agreement between you and Umakhan PRO LLC, Shams Media City, Sharjah, United Arab Emirates (the “Company”, “we”, “us”) governing access to and use of VocaLingo via https://vocalingo.app, the web application and the iOS and Android applications (together, the “Service”). By creating an account, signifying acceptance or using the Service you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organisation, you represent that you have authority to bind it.

You must be at least eighteen (18) years of age and have legal capacity to contract. The Service is not offered to persons prohibited from using it under the laws of the UAE, your country of residence or applicable sanctions. We may refuse, suspend or terminate access at our discretion, including where abuse is detected or reasonably suspected.

Access may be obtained by email, third-party identity providers or an anonymous session subsequently upgraded. You shall not create or operate multiple accounts to obtain additional promotional, welcome or referral credits or to evade limits, suspensions, device checks or other controls. You are responsible for the security of your credentials, for all activity under your account, for the accuracy of information you provide, and for all content processed through the account, including content relating to third parties. We may, without prior notice where fraud or abuse is reasonably suspected, suspend, restrict or terminate accounts, deactivate promotional codes and reverse credits obtained in breach of these Terms.

Subject to these Terms we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service. You shall not, and shall not permit others to: use the Service for any unlawful purpose or to process content that is unlawful in the UAE, your jurisdiction or any jurisdiction implicated by a communication; upload, generate or disseminate child sexual abuse material or sexual content involving minors; commit fraud, phishing, social engineering or impersonation, including by means of synthetic voice or dubbed audiovisual content; harass, threaten, defame or incite violence; send unsolicited marketing or high-volume communications via calling features; obtain, sell, purchase, barter or auction credits, activations or accounts, or otherwise abuse promotions; circumvent technical, device, network, payment or promotional limits, including by automation, disposable identities or concealment of device or network attributes for that purpose; reverse engineer, scrape, overload or interfere with the Service except as mandatory law permits; resell the Service as a competing offering without our prior written consent; or introduce malware or attempt unauthorised access. We may rate-limit, refuse processing, withhold promotional value or terminate access to protect the Service and other users.

Output of the Service is generated by third-party artificial-intelligence systems and may be inaccurate, incomplete, biased or otherwise unsuitable. Translations, transcripts, suggestions and similar output do not constitute professional advice of any kind and are not a substitute for a qualified practitioner. You shall not rely on the Service as the sole basis for medical, legal, financial, safety-critical or immigration decisions and you are solely responsible for verifying material output before use or publication. We do not warrant that output is accurate, unique or non-infringing. Use of a feature constitutes your instruction to process the content required therefor through our processors. Processor availability, models and metered prices may change.

Calling features, where made available, permit placing a telephone call with optional machine translation or assistance. You shall call only numbers you are lawfully entitled to call and shall obtain all consents required by law from every participant, including consents to recording or machine processing where required. Connectivity and call quality depend on third-party networks and are not guaranteed. Metered charges for attempts, connection, duration and related verification, as presented in the Service, accrue when the attempt is made and are not refundable except where mandatory law so requires. You are solely responsible for the content of calls and for disputes with called parties. Custom-voice features produce a synthetic voice from a sample. You represent that you own the voice or hold all required consents and licences, and you shall not use a synthetic voice to impersonate any person without authorisation, to deceive, or to violate publicity, privacy or fraud laws. We may refuse or delete voices and outputs we reasonably believe to violate these Terms.

Credits (tokens) constitute a limited, revocable licence to consume metered features. They are not money, electronic money, a security or stored value capable of cash-out or assignment except as we expressly permit. Promotional, welcome, referral and similar credits may be limited per person, per device and per programme and may be refused or reversed where abuse is detected. Purchased credits are delivered subject to the rules of the relevant app store or payment institution. Unused credits have no cash value. Upon suspension or termination for breach, promotional credits are forfeited; unused purchased credits are handled in accordance with the relevant platform rules and mandatory law. Displayed consumption for a job is an estimate unless a fixed charge is stated; actual consumption may differ. We may alter prices, feature costs and promotional programmes prospectively. Such alterations do not affect credits validly accrued except for reversal on abuse.

Referral and promotional codes are a discretionary promotion and do not create employment, partnership or agency. You may share your own code. You shall not buy, sell or auction activations or compensate persons solely to activate a code so as to abuse the programme. We may limit activations, deactivate codes and reclaim rewards obtained through farming, fraud or other abuse.

The Service may offer token-earning tasks in which you submit a public post, video, article or similar material about VocaLingo. By submitting such material you grant us a perpetual, worldwide, non-exclusive, royalty-free licence to use, reproduce, adapt, publish, translate and display it, including excerpts, on our website, applications and social-media channels for promotional and informational purposes, with or without attribution to your name or handle. You represent that the material is your original work, that you have all rights needed to grant this licence, and that you will keep it publicly available for at least twenty-four (24) hours after submission. We may refuse a reward, and may permanently disable a task for your account, if the material is removed earlier, is not original, or otherwise breaches these Terms.

The Service may offer free usage, credit packs and auto-renewing subscriptions. Price, term and inclusions are presented before payment. Purchases through Apple or Google are additionally governed by those platforms, which handle billing. Purchases through other payment institutions are governed by those institutions’ terms and receipts. Auto-renewing Apple subscriptions are charged to the Apple ID at confirmation of purchase, renew unless cancelled at least twenty-four (24) hours before the end of the current period, and are charged for renewal within twenty-four (24) hours prior to period end; management and cancellation are effected in Apple ID settings. Google Play subscriptions are managed in Google Play. Unused free-trial periods are forfeited upon purchase of a subscription where the platform so provides. We do not store full payment-card numbers. Refunds for app-store purchases must be sought from Apple or Google under their policies. For other payments, contact info@vocalingo.app; we handle such requests in accordance with the provider’s rules and applicable consumer law. Consumed credits, completed processing jobs and connected call time are not refundable except where mandatory law requires otherwise. Subscription cancellation stops future renewals and does not, of itself, refund the current period unless the platform or law so requires.

We may suspend or terminate access, ban accounts, deactivate codes and reverse abusive credits where you breach these Terms or the Privacy Policy; where we reasonably suspect fraud, chargeback abuse, promotional farming or multi-accounting; where required by law, a platform or a payment institution; or where we discontinue the Service or a feature (reasonable notice being given where practicable). The Service, including software, design, marks and documentation, is owned by the Company or its licensors. These Terms transfer no ownership. You shall not copy, scrape, reverse engineer (save as mandatory law allows) or resell the Service or our marks without permission. You retain such rights as you hold in content you submit. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit and display that content solely to operate, secure and improve the Service and to comply with law. You represent that you have all rights and consents required, including as to voices, likenesses, telephone numbers and copyright works you submit or retrieve via the Service. As between you and us, and to the extent permitted by law and by processor terms, you may use output generated for you; we claim no copyright in your unique output and do not warrant uniqueness or that you will own all intellectual property therein. Third-party sites, media and import functions are provided as is; you must comply with their terms and with copyright law. We are not responsible for third-party content, unavailability or takedowns. We do not guarantee uninterrupted or error-free Service. We may add, modify or withdraw features, models, prices and limits. We are not liable for discontinued features beyond unused prepaid value as mandatory law may require.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. To the maximum extent permitted by law we shall not be liable for indirect, incidental, special, consequential, punitive or lost-profit damages, nor for loss of data, inaccurate output, failed communications or acts of third parties. Our aggregate liability arising out of the Service shall not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months preceding the claim and (b) fifty United States dollars (USD 50), except where such limitation is prohibited. In jurisdictions that do not permit certain limitations, our liability is limited to the maximum extent permitted. You shall defend, indemnify and hold harmless the Company and its officers from claims, damages and costs (including reasonable legal fees) arising out of your content, communications, synthetic voice, use of the Service, breach of these Terms or of law or third-party rights, or any dispute with a person you contacted, recorded, whose content you processed or whose voice or likeness you used.

These Terms are governed by the laws of the United Arab Emirates, excluding conflict-of-law rules. The courts of Sharjah, UAE, have exclusive jurisdiction, provided that we may seek injunctive or similar relief in any forum to protect our intellectual property or the Service. Mandatory consumer protections of your country of residence apply where they cannot be waived. If a provision is unenforceable, the remainder continues in effect. These Terms and the Privacy Policy constitute the entire agreement in respect of the Service and supersede prior terms. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, sale or reorganisation. We may revise these Terms. The date of last update shall be amended. Material changes may be announced in the Service. Continued use after the effective date constitutes acceptance except where law requires additional consent.
